Overview
Our Corporate Law section advises individuals in starting new businesses and restructuring existing ones and selecting the business structure which best fits their needs, such as joint ventures, general partnerships, limited partnerships, corporations and limited liability companies. Our representation includes formulation of joint venture, partnership and limited partnership agreements, incorporation and organization of the entity, stock buy-sell agreements, operating and management agreements, employment and independent contractor agreements, and other company agreements.
Business Law
We represent many kinds of businesses, computer and high technology, art and design, music, restaurants, builders, developers, real estate brokers, stables, consultants, insurance agencies, automobile repair, real estate investment, travel agencies, dry cleaners, manufacturers, produce brokers and many others.
The firm represents clients in negotiation and preparation of contracts, such as employment contracts, real estate contracts, construction contracts, business purchase and sale agreements, independent contractor agreements, management agreements, prenuptial agreements, consulting agreements, and severance agreements.
We represent clients in business letters of intent, purchase and sale agreements, confidentiality agreements, due diligence, stock and asset transactions, corporate and business acquisitions and divestitures, financing and security arrangements, and business closings.
